All services are governed by a separate Statement of Work, Master Services Agreement, or engagement letter executed between HUKAM TRANS INC and the client. In the event of any conflict between these general Terms of Service and the terms of a signed engagement agreement, the signed agreement shall control.

We make no representation that our website content is appropriate or available for use in all locations. Access to our website from territories where its content is illegal is prohibited.

3.0 User Obligations

When using our website or services, you agree to the following obligations:

4.1 Our Intellectual Property

4.2 Client Deliverables

Unless otherwise agreed in writing, upon full payment for services rendered, HUKAM TRANS INC assigns to the client all rights, title, and interest in the deliverables specifically created for the client under the applicable engagement agreement. HUKAM TRANS INC retains ownership of all pre-existing materials, tools, methodologies, frameworks, and know-how used or developed in the course of performing services, including any improvements or modifications thereto.

5.0 Confidentiality

In the course of providing services, HUKAM TRANS INC may receive confidential and proprietary information from clients. We agree to maintain the confidentiality of such information using the same degree of care we use to protect our own confidential information, but in no event less than reasonable care. Confidential information does not include information that:

• Is or becomes publicly available through no breach of these terms by the receiving party.
• Was rightfully in the receiving party's possession prior to disclosure by the disclosing party.
• Is independently developed by the receiving party without use of or reference to the disclosing party's confidential information.
• Is required to be disclosed by law, regulation, or court order, provided the receiving party gives prompt notice to the disclosing party to allow it to seek a protective order.

6.0 Payment Terms

Fees for services are set forth in the applicable Statement of Work or engagement agreement. Unless otherwise specified, invoices are due net thirty days from the invoice date. Late payments are subject to interest at the rate of one and one-half percent per month, or the maximum rate permitted by applicable law, whichever is lower.

All fees are exclusive of applicable taxes, levies, and duties. Clients are responsible for payment of all sales, use, value-added, withholding, and similar taxes imposed on the services, excluding taxes based on HUKAM TRANS INC's net income.

7.0 Limitation of Liability

To the fullest extent permitted by applicable law, HUKAM TRANS INC, its officers, directors, employees, agents, and subcontractors shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, loss of data, loss of goodwill, business interruption, or the cost of procurement of substitute services, arising out of or in connection with these terms, our website, or our services, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if advised of the possibility of such damages.

In no event shall HUKAM TRANS INC's aggregate liability for all claims arising out of or relating to these terms, our website, or our services exceed the total fees paid or payable by you to HUKAM TRANS INC during the twelve-month period immediately preceding the event giving rise to the claim, or ten thousand United States dollars, whichever is greater.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

These Terms of Service shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these terms.

Any dispute arising out of or relating to these terms, or the breach thereof, shall be resolved exclusively in the state or federal courts located in Alameda County, California. You consent to the personal jurisdiction of such courts and waive any objection to venue therein.

Before initiating any legal proceeding, the parties shall attempt in good faith to resolve any dispute through informal negotiation for a period of not less than thirty days. If the dispute is not resolved through negotiation, the parties may pursue any available legal remedies.
